These Terms of Service (“Terms”) govern your access to and use of the website https://precastXchange.com and related services (collectively, the “Services”) provided by precastXchange Inc. (“precastXchange”, “we”, “us” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Eligibility and accounts

You must be able to form a legally binding contract under applicable law to use the Services. The Services are intended for business and professional use, not for personal consumer use by minors.
When you create an account, you agree to provide accurate, complete and up-to-date information, and to maintain the security of your login credentials.
You are responsible for all activity that occurs under your account. If you believe your account has been compromised, you must notify us promptly at [email protected].

2. Marketplace role

precastXchange provides a platform that enables buyers, sellers, manufacturers, engineers and other professionals to discover each other, post listings, exchange information and, where applicable, arrange transactions.
Unless explicitly stated otherwise in writing, precastXchange is not a party to any contract between users and does not guarantee the existence, quality, safety, legality, or suitability of any listing, equipment, service, or counterparties.
Users are responsible for conducting their own due diligence, technical verification, inspections and legal/standards compliance before entering into any agreements or completing any transactions.

3. User obligations

In using the Services, you agree that you will not:

Violate any applicable laws, regulations, standards or industry codes (including safety and engineering standards such as ASTM, CSA, or local building codes).
Post false, misleading, fraudulent or inaccurate information about products, capabilities, certifications or approvals.
Infringe or violate the intellectual property, privacy or other rights of any third party.
Upload or transmit malware, malicious code or any content that could interfere with the proper functioning of the Services.
Attempt to gain unauthorized access to any part of the platform or other users’ data.
Use scraping, robots or similar methods to access the Services except as explicitly permitted in writing by precastXchange.

4. Listings, content and licenses

You retain ownership of the content you submit or upload to the Services (including listings, descriptions, images, documents, specifications and company information).
By submitting content, you grant precastXchange a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and otherwise use your content for the purpose of operating, improving and promoting the Services.
You represent and warrant that you have all necessary rights to submit the content and to grant the above license, and that your content does not violate any third-party rights or applicable laws.
We may remove or modify content that we reasonably believe violates these Terms or our policies, or that may be harmful to the platform or other users.

5. Fees, payments and taxes

Certain features of the Services may be subject to fees (for example, premium listings, subscription plans, auction services or transaction-related fees). Specific pricing and billing terms will be communicated within the platform or in a separate order form.

You agree to pay all applicable fees in accordance with the terms presented at the time you purchase or subscribe to a service.
Unless stated otherwise, all fees are quoted in the indicated currency and are exclusive of applicable taxes. You are responsible for any applicable sales, value-added or other taxes.
We may change our fees and billing terms prospectively by providing reasonable notice, for example by posting an update within the Services or emailing affected customers.

6. No engineering or legal advice

Information available through the Services (including standards, specifications, engineering guides and templates) is provided for general informational purposes only and does not constitute engineering, design, safety, legal or professional advice.

You are solely responsible for ensuring that all designs, products, installations and operations comply with applicable laws, regulations and professional standards, and for consulting qualified professionals where appropriate.

7. Service changes and availability

We may modify, suspend or discontinue all or part of the Services at any time, with or without notice, provided that we use reasonable efforts not to materially degrade any paid service during a current billing term.
We do not guarantee that the Services will be available at all times or free from interruptions, downtime, errors or security incidents.

8. Termination

You may stop using the Services at any time. If you wish to close your account, you may contact us at [email protected].
We may suspend or terminate your access to the Services (in whole or in part) if we reasonably believe that you have violated these Terms, posed a risk to the platform or other users, or failed to pay applicable fees.
Upon termination, certain provisions of these Terms which by their nature should survive (such as limitations of liability, indemnity, intellectual property and dispute resolution) will continue to apply.

9. Disclaimers

To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied or statutory.

precastXchange specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not guarantee that:

The Services will be uninterrupted, secure or error-free; or
Any content, listings or information on the platform will be accurate, complete, current or suitable for your particular needs.

10. Limitation of liability

To the maximum extent permitted by law, precastXchange and its directors, officers, employees, and affiliates will not be liable for any:

Indirect, incidental, consequential, special, exemplary or punitive damages; or
Loss of profits, revenue, business opportunities, data, goodwill, or procurement of substitute goods or services,

arising out of or in connection with your use or inability to use the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

To the extent liability cannot be excluded, our total aggregate liability for any claim arising out of or relating to the Services will be limited to the amount paid by you to precastXchange for the Services during the twelve (12) months preceding the event giving rise to the claim.

11. Indemnity

You agree to indemnify and hold harmless precastXchange and its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with:

Your use of the Services;
Your content, listings or conduct on the platform; or
Your violation of these Terms or any applicable laws or third-party rights.

12. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Any disputes arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts located in Ontario, Canada, and you and precastXchange consent to personal jurisdiction in those courts.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, provide additional notice (for example, by email or within the Services).

Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms.
